Terms of Use

These Terms govern your access to and use of FarmPawa's platform, website, mobile applications, products, services, content, and related tools.

By creating an account, signing in, saving, sponsoring, contributing, making a payment, or otherwise using the Platform, you confirm that you have read, understood, and agreed to these Terms.

• Platform: the FarmPawa website, mobile applications, dashboards, tools, products, services, and related systems.
• User: any person who visits, registers, accesses, or uses the Platform.
• Sponsor / Participant: a User who participates in a sponsorship, savings opportunity, SACCO-related opportunity, or other programme on the Platform.
• Opportunity: any project, sponsorship, savings opportunity, SACCO-related programme, agricultural project, third-party product, or other offering made available through the Platform.
• Partner: any third-party institution, SACCO, farmer, operator, fund manager, custodian, payment provider, financial institution, or service provider involved in an Opportunity.

FarmPawa operates as a technology, administrative, facilitation, and reporting platform. Depending on the Opportunity, FarmPawa may act as a facilitator, intermediary, administrator, reporting provider, distributor, or service provider.

FarmPawa does not provide financial, investment, legal, tax, accounting, or professional advice. Any information shown on the Platform is provided for general informational purposes only.

Where an Opportunity requires licensing, authorization, registration, approval, or regulatory oversight, it shall be offered only through the relevant licensed, authorized, approved, or regulated entity where applicable and subject to applicable law and product-specific terms.

You may use the Platform only if you are legally capable of entering into binding agreements and are permitted to use the Platform under applicable law.

You are responsible for keeping your account details, password, and login credentials confidential. You must notify FarmPawa immediately if you suspect unauthorized access to your account.

FarmPawa may refuse registration, restrict access, suspend accounts, or require additional verification where reasonably necessary for compliance, security, fraud prevention, or risk management.

FarmPawa may make available agricultural projects, greenhouse projects, open-field projects, SACCO-related opportunities, and other productive-sector opportunities.

Each Opportunity may have its own agreement, disclosure, terms, timelines, risks, fees, eligibility requirements, expected outcomes, and payout or withdrawal conditions.

Participation in an Opportunity does not create ownership rights in FarmPawa or any FarmPawa company unless expressly stated in a separate written agreement.

Certain Opportunities may allow Users to save, allocate, or commit funds through products or arrangements offered by FarmPawa or its Partners.

Where savings opportunities involve third-party institutions, fund managers, SACCOs, custodians, payment providers, or financial service providers, additional partner terms or product-specific terms may apply.

Any projected earnings, growth, distributions, yield, bonus, reward, or return shown on a savings opportunity may be indicative, variable, conditional, or dependent on the underlying product structure, Partner performance, market conditions, fees, withdrawal timelines, and applicable terms.

Unless expressly stated in separate written product terms, FarmPawa does not guarantee any return, interest, yield, profit, bonus, liquidity, withdrawal timeline, or capital preservation.

FarmPawa may make available SACCO-related opportunities through selected SACCOs, cooperatives, or related Partners. Such Opportunities may depend on the governance, operations, borrower performance, liquidity, and financial performance of the relevant SACCO or Partner.

FarmPawa does not guarantee the performance, liquidity, repayment, profitability, management, or obligations of any SACCO or Partner unless expressly stated in a separate written agreement.

FarmPawa may require identity verification, Know Your Customer documentation, anti-money laundering checks, source-of-funds information, address verification, phone verification, payment verification, or any other compliance information.

FarmPawa may suspend, restrict, reject, delay, reverse, or terminate access to the Platform or any Opportunity where required by law, regulation, compliance obligations, fraud prevention measures, security requirements, or risk management procedures.

You agree to provide accurate, complete, and up-to-date information. Providing false, misleading, incomplete, or fraudulent information may result in account restriction, termination, reporting to relevant authorities, or other lawful action.

Nothing on the Platform constitutes financial, investment, legal, tax, accounting, agricultural, or professional advice.

You should review all relevant information and seek independent professional advice before participating in any Opportunity. You are responsible for your own decisions.

All Opportunities involve risk. Returns, distributions, earnings, growth, project outcomes, timelines, withdrawal periods, and expected performance are not guaranteed.

Risks may include agricultural risk, weather risk, disease risk, market price risk, borrower risk, SACCO performance risk, liquidity risk, counterparty risk, operational risk, technology risk, cyber risk, Partner risk, insolvency risk, regulatory risk, force majeure events, and other factors beyond FarmPawa's control.

Past performance, previous distributions, estimated returns, projections, illustrations, marketing examples, or sample calculations do not guarantee future results. You may receive less than expected, returns may be delayed, and in some cases you may receive less than the amount committed.

Your use of the Platform is also subject to FarmPawa's Privacy Policy, which explains how we collect, use, store, disclose, and protect personal information.

FarmPawa may collect, process, verify, store, and share personal information where reasonably necessary to provide services, process transactions, verify identity, comply with legal obligations, prevent fraud, protect Users and Partners, improve the Platform, and enforce these Terms.

You must not use the Platform to:

• provide false, misleading, or fraudulent information;
• impersonate another person or use another person's account;
• engage in fraud, money laundering, terrorist financing, or unlawful activity;
• attempt unauthorized access to the Platform, accounts, systems, or data;
• interfere with or disrupt Platform operations;
• scrape, copy, reverse engineer, or commercially exploit Platform systems;
• upload malicious code, spam, harmful content, or illegal material;
• abuse referrals, promotions, payments, withdrawals, or reward systems;
• do anything that may harm FarmPawa, Users, Partners, or third parties.

Certain Opportunities may involve Partners such as SACCOs, financial institutions, fund managers, custodians, farmers, farm operators, payment processors, technology providers, or other service providers.

Additional Partner terms may apply. You agree to review and comply with any applicable Partner or product-specific terms before participating in an Opportunity.

FarmPawa is not responsible for losses arising from the acts, omissions, delays, insolvency, default, operational failure, regulatory breach, or performance failure of third parties, except where required by applicable law.

FarmPawa may charge fees or receive compensation in connection with certain Opportunities, services, transactions, Partners, or products. Applicable fees and charges will be disclosed where relevant.

You are responsible for any taxes, charges, mobile money fees, bank fees, payment processing fees, or third-party costs that may apply to your transactions unless stated otherwise.

The Platform and its content are provided "as is" and "as available". FarmPawa does not guarantee that the Platform will always be available, uninterrupted, error-free, secure, accurate, complete, or current.

Software, media, graphics, text, names, logos, trademarks, data, designs, and documentation on the Platform belong to FarmPawa or its licensors. You may not copy, modify, distribute, reverse engineer, reproduce, or commercially exploit them without our prior written consent.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, or any liability that cannot lawfully be excluded or limited under applicable law.

Subject to the above, FarmPawa and its directors, officers, employees, affiliates, agents, and service providers shall not be liable for indirect, incidental, consequential, special, punitive, or similar damages arising from your use of the Platform, participation in any Opportunity, reliance on Platform content, Partner performance, market conditions, borrower default, SACCO performance, project underperformance, withdrawal delays, regulatory changes, technology failures, or other events beyond FarmPawa's reasonable control.

Subject to applicable law, FarmPawa's total liability shall not exceed the fees you paid directly to FarmPawa during the three (3) months before the event giving rise to the claim.

FarmPawa may suspend, restrict, or terminate your access to the Platform or any Opportunity where we reasonably believe that these Terms have been breached, fraud or misuse is suspected, legal or regulatory requirements apply, information is false or incomplete, or continued access may expose FarmPawa, Users, Partners, or the Platform to risk.

You may request account closure by contacting info@farmpawa.com. Account closure does not automatically cancel obligations already incurred under existing sponsorship agreements, product-specific terms, Partner terms, or other binding arrangements.

FarmPawa may update these Terms from time to time. Minor changes may be posted on the Platform. Where practicable, material changes may be communicated by email, in-app notice, website notice, or another reasonable method.

Continued use of the Platform after changes are posted or communicated means you accept the updated Terms. Product-specific changes may require separate acceptance before you participate in the relevant Opportunity.

These Terms are governed by the laws of Uganda. Subject to any mandatory rights you may have under applicable law, disputes shall be submitted to the courts of Uganda.

Before starting formal proceedings, either party may first notify the other party of the dispute and allow a reasonable period for good-faith resolution.

These Terms should be read together with any applicable Project Sponsorship Agreement, product-specific terms, Partner terms, privacy policy, disclosures, and notices.

If there is any inconsistency, the following order shall apply:

• product-specific terms;
• Project Sponsorship Agreement;
• Partner terms;
• project disclosures or notices;
• these Terms of Use.
